ENGAGEMENT.

1. Scope of Services

Telosynt Advisory Ltd provides strategic advisory, corporate affairs, and reputation management services. The specific scope of any engagement will be defined in a separate Statement of Work (SOW) or Engagement Letter agreed upon by both parties.

2. Professional Standards

We perform our services with reasonable skill and care, in accordance with applicable professional standards and ethical guidelines. Our advice is based on information available at the time and our professional judgment.

3. Client Obligations

To enable us to provide effective advisory services, the Client agrees to provide timely, accurate, and complete information. The Client remains responsible for any commercial or strategic decisions made based on our advice.

4. Confidentiality

Both parties agree to maintain the strict confidentiality of all non-public information disclosed during the engagement. This obligation survives the termination of the engagement. We maintain rigorous internal protocols for the handling of sensitive client data.

5. Intellectual Property

Unless otherwise agreed in writing, we retain ownership of all intellectual property rights in the materials, methodologies, and frameworks developed by us. The Client is granted a non-exclusive license to use the deliverables for the intended purpose of the engagement.

6. Limitation of Liability

Our total liability for any claim arising out of or in connection with our services shall be limited to the fees paid for the specific engagement, except in cases of gross negligence or willful misconduct.

7. Governing Law

These terms and any engagement are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Engagement Framework

All professional interactions with Telosynt are subject to these master terms unless specifically superseded by a signed Engagement Letter.
